Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the IVOCOR website (ivocor.com), the SAAVR™ reporting platform, and HotelTools.ai operational intelligence system (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Description of Services

IVOCOR provides institutional-grade hospitality intelligence services, including the SAAVR™ (Sentiment-Adjusted Asset Valuation Report), SPI™ (Sentiment Performance Index) scoring, and the HotelTools.ai operational platform for hotel management. Our Services are designed for REIT Asset Managers, Private Equity firms, hotel management companies, and institutional hospitality operators.

User Accounts

To access certain features of our Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Intellectual Property

The Services, including all content, features, functionality, SAAVR™ reports, SPI™ methodology, and the IVOCOR and HotelTools.ai brands, are owned by IVOCOR and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written consent.

Confidentiality

We recognize that portfolio data and asset information you provide is confidential. We maintain strict confidentiality of all client data and offer enterprise NDA agreements upon request. SAAVR™ reports and analyses are provided exclusively to the requesting client unless otherwise authorized.

Disclaimer of Warranties

Our Services, including SAAVR™ reports and SPI™ scores, are provided for informational purposes and are not intended as investment advice. While we strive for accuracy, IVOCOR makes no warranties regarding the completeness, reliability, or accuracy of any information provided. Investment decisions should be made in consultation with qualified financial and legal advisors.

Limitation of Liability

To the maximum extent permitted by law, IVOCOR shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. Our total liability for any claims arising under these Terms shall not exceed the fees paid by you for the Services in the twelve months preceding the claim.

Service Modifications

We reserve the right to modify, suspend, or discontinue the Services at any time without notice. We may also modify these Terms from time to time. Continued use of the Services following any changes constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New Jersey.
